OBA Member Information & Links For Registering a Benefit Company; Oregon Benefit Companies Ceremony Jan. 2

On January 2nd, Secretary of State Kate Brown will register the first Oregon Benefit companies at the state office in Portland, located at 800 NE Oregon Street, Room 1A.  Organizers will begin the ceremony promptly at 11 a.m. and ask that representatives of companies registering arrive as early as 10:30 a.m. that morning.  

After remarks from Secretary Brown and co-chairs of the Be the Change Oregon steering committee, companies will file completed paperwork and receive a certificate identifying them as one of the inaugural registering benefit companies in Oregon. The ceremony will be followed by a reception with an opportunity for registering companies to engage with press.

Please find below the necessary forms from the corporate division at the Secretary of State’s office that you will need to complete to become an Oregon benefit company.

The first two forms (benefit-co…) are for existing corporations or LLC’s that want to amend their articles. The companies need to state the article number they are amending and check that they want to add the pre-printed text to become a benefit company.  They can also name any specific public benefit on this form.

The other two forms are the new standard forms for anyone to use when forming a new corporation or LLC.  This simple approach will allow anyone forming a new company to consider becoming a benefit company by checking a box to include the Benefit Company statement in their optional provisions.
